1. Introduction & Acceptance

These Terms of Service (“Terms”) govern your access to and use of Stalexo, a SaaS platform for inspection agency management, operated by Kubbeo (“we”, “us”, “our”).

By creating an account or using the platform in any way, you agree to be bound by these Terms. If you do not agree, you must not use Stalexo.

These Terms apply to all users of the platform, including agency administrators, team members, and freelance inspectors.

2. Definitions

• “Platform” — the Stalexo web application accessible at app.stalexo.com
• “Account” — your personal access to the platform, created upon registration
• “Workspace” — an isolated environment created for an agency or organization
• “Administrator” — the user who creates and manages a Workspace
• “Team Member” — a user invited into a Workspace by an Administrator
• “Inspector” — a freelance professional registered on the Stalexo Marketplace
• “Subscription” — a paid access plan giving rights to use the platform’s features
• “Content” — any data, files, reports, or information uploaded to the platform

3. Account Creation & Eligibility

To use Stalexo, you must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding agreement
• Provide accurate and complete information during registration
• Be acting on behalf of yourself or a legally authorized organization

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at contact@stalexo.com if you suspect any unauthorized access to your account.

Each account is personal and non-transferable. You may not share your credentials with third parties.

4. Subscriptions & Pricing

Stalexo offers the following subscription plans:

All prices are shown excluding VAT. Applicable taxes will be added at checkout based on your location.

Subscriptions are billed on a monthly recurring basis via Stripe. By subscribing, you authorize Stalexo to charge your payment method automatically at the start of each billing cycle.

We reserve the right to modify our pricing. Any price change will be communicated by email at least 30 days in advance and will only apply at your next renewal.

5. Free Trial

New accounts may be eligible for a 14-day free trial. During the trial period, you have access to the full features of your selected plan.

• No credit card is required to start a trial
• At the end of the trial, your account will be automatically downgraded unless you activate a paid subscription
• We reserve the right to modify or discontinue the trial offer at any time

6. Cancellation & Refunds

Cancellation You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain full access until that date.

Refunds We do not offer refunds for partial months or unused periods. However, if you experience a significant technical issue that prevented you from using the platform, contact us at contact@stalexo.com and we will assess your situation on a case-by-case basis.

Account deletion Upon cancellation, your workspace data is retained for 30 days before permanent deletion. You may export your data at any time before this deadline.

7. Acceptable Use

You agree to use Stalexo only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform to store, transmit, or distribute illegal content
• Attempt to gain unauthorized access to other users’ workspaces or data
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Use automated scripts or bots to interact with the platform without our written consent
• Resell or sublicense access to the platform without prior written authorization
• Use the platform in a way that could damage, overload, or impair its infrastructure

We reserve the right to suspend or terminate any account that violates these rules, without prior notice and without refund.

8. Your Content & Data

You retain full ownership of all content and data you upload to Stalexo — including reports, client files, mission data, and any other information.

By uploading content to the platform, you grant Kubbeo a limited, non-exclusive license to store, process, and display that content solely for the purpose of providing the service to you.

We do not claim ownership of your data and will never use it for our own commercial purposes.

Upon account termination, you may export your data within the 30-day retention window. After this period, all data is permanently and irreversibly deleted.

9. Platform Availability & Maintenance

We strive to maintain high availability of the platform. However, we do not guarantee uninterrupted access and may occasionally schedule maintenance windows.

• Planned maintenance will be communicated in advance when possible
• We are not liable for temporary unavailability due to infrastructure issues beyond our control (force majeure, third-party outages, etc.)
• Enterprise clients benefit from a dedicated SLA with uptime commitments

10. Intellectual Property

All elements of the Stalexo platform — including but not limited to its design, interface, code, trademarks, logos, and documentation — are the exclusive property of Kubbeo and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the platform during your active subscription. This license does not grant you any ownership rights over the platform itself.

Any unauthorized reproduction, distribution, or modification of our intellectual property is strictly prohibited.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

• Stalexo is provided “as is” without warranties of any kind, express or implied
• We do not warrant that the platform will be error-free, secure, or available at all times
• Kubbeo shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform
• Our total liability to you for any claim shall not exceed the amount you paid in the 3 months preceding the claim

Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under French law.

12. Indemnification

You agree to indemnify and hold harmless Kubbeo, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the platform in violation of these Terms
• Any content you upload that infringes a third party’s rights
• Your violation of any applicable law or regulation

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any feature of the platform at any time. We will make reasonable efforts to notify you in advance of significant changes.

If a modification materially affects your use of the platform, you may cancel your subscription within 30 days and receive a prorated refund for the remaining period.

14. Governing Law & Disputes

These Terms are governed by French law.

In the event of a dispute, we encourage you to contact us first at contact@stalexo.com to resolve the matter amicably. If no resolution is reached, the dispute shall be submitted to the competent courts of France.

For consumers within the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
